		<paragraph><![CDATA[the country. ]]></paragraph>
		<paragraph><![CDATA[“CCDC 30 reads like nothing you are really used to,” ]]></paragraph>
		<paragraph><![CDATA[Mulholland said. “It’s intensely collaborative. If you can’t ]]></paragraph>
		<paragraph><![CDATA[play nicely in the sandbox, there are mechanisms to have ]]></paragraph>
		<paragraph><![CDATA[you thrown out. The risk pool to my mind is the element ]]></paragraph>
		<paragraph><![CDATA[of the contractual arrangements that give it its power.” ]]></paragraph>
		<paragraph><![CDATA[Success is very clear because the parties spend a ]]></paragraph>
		<paragraph><![CDATA[great degree of time on mutually agreeing upon the price, ]]></paragraph>
		<paragraph><![CDATA[scope, schedule, and quality. “When you achieve suc- ]]></paragraph>
		<paragraph><![CDATA[cess, you get your risk pool,” he said. If the project goes ]]></paragraph>
		<paragraph><![CDATA[above budget, and the final cost burns into the contingen- ]]></paragraph>
		<paragraph><![CDATA[cies, pre-identified by mutual agreement, “then you are ]]></paragraph>
		<paragraph><![CDATA[into the risk pool and the owner is now spending your ]]></paragraph>
		<paragraph><![CDATA[profit.” However, if the project is way off budget, “the owner ]]></paragraph>
		<paragraph><![CDATA[continues to pay the costs if they are above the risk pool ]]></paragraph>
		<paragraph><![CDATA[and contingencies.” ]]></paragraph>
		<paragraph><![CDATA[“Owners like it, because the risk of costs increasing ]]></paragraph>
		<paragraph><![CDATA[above the top line is closely and collaboratively man- ]]></paragraph>
		<paragraph><![CDATA[aged,” Banfai said. “Contractors like it, because at least ]]></paragraph>
		<paragraph><![CDATA[they are going to (recover) their costs. In the worst case ]]></paragraph>
		<paragraph><![CDATA[scenario, they aren’t going to get a profit but they are ]]></paragraph>
		<paragraph><![CDATA[going to get their costs.” ]]></paragraph>
		<paragraph><![CDATA[Of course, the process requires quite a bit of co-ordi- ]]></paragraph>
		<paragraph><![CDATA[nation and planning, since the key players including the ]]></paragraph>
		<paragraph><![CDATA[owner, design consultants, general contractor, and key ]]></paragraph>
		<paragraph><![CDATA[subtrades need to participate as a team from the start, ]]></paragraph>
		<paragraph><![CDATA[even as they compete for the contract, which will be for a ]]></paragraph>
		<paragraph><![CDATA[building for which there is not yet a design. ]]></paragraph>
		<paragraph><![CDATA[“On day one, when CCDC 30 is signed, as of this date, ]]></paragraph>
		<paragraph><![CDATA[there is no project yet,” Banfai said. “There may be a bud- ]]></paragraph>
		<paragraph><![CDATA[get but it’s just a thumbnail. There’s no scope, there’s no ]]></paragraph>
		<paragraph><![CDATA[design, even all of the parties may not be confirmed. At ]]></paragraph>
		<paragraph><![CDATA[this point, the project is a gleam in the owner’s eye.” ]]></paragraph>
		<paragraph><![CDATA[The first stage, Banfai said, is the “validation phase”. ]]></paragraph>

		<paragraph><![CDATA[whole bunch of things happen. Owners, and design and ]]></paragraph>
		<paragraph><![CDATA[construction teams meet intensively to take this gleam in ]]></paragraph>
		<paragraph><![CDATA[the owner’s eye and turn it into something that will be ]]></paragraph>
		<paragraph><![CDATA[sufficient to allow a go/no go decision.” ]]></paragraph>
		<paragraph><![CDATA[During this time, the team coalesces psychologically, ]]></paragraph>
		<paragraph><![CDATA[with a project management team, senior management ]]></paragraph>
		<paragraph><![CDATA[team and project implementation teams. ]]></paragraph>
		<paragraph><![CDATA[“At this stage, the design is worked up to a point, ]]></paragraph>
		<paragraph><![CDATA[where a base target cost can be comfortably deter- ]]></paragraph>
		<paragraph><![CDATA[mined,” Banfai said. “The site investigations are done, ]]></paragraph>
		<paragraph><![CDATA[usual due diligence along the way is done, all under the ]]></paragraph>
		<paragraph><![CDATA[management of the project team.” ]]></paragraph>
		<paragraph><![CDATA[Participants conduct meetings where the expected ]]></paragraph>
		<paragraph><![CDATA[profits are identified and tabled in an open-book way so ]]></paragraph>
		<paragraph><![CDATA[as to establish a Risk Pool, and risk allocation percent- ]]></paragraph>

		<paragraph><![CDATA[“yes” -- as the industry’s inefficiencies and intermediary- ]]></paragraph>

		<paragraph><![CDATA[for greater efficiencies and disruptive integrated organi- ]]></paragraph>
		<paragraph><![CDATA[zations are changing the meanings of modular design- ]]></paragraph>
		<paragraph><![CDATA[build to much more comprehensive and wide-scale ]]></paragraph>
		<paragraph><![CDATA[applications. Not surprisingly, many of these changes are being led ]]></paragraph>
		<paragraph><![CDATA[by U.S.-based organizations, though there are significant ]]></paragraph>
		<paragraph><![CDATA[areas including artificial intelligence (machine learning) ]]></paragraph>
		<paragraph><![CDATA[where Canadians have a leadership role. ]]></paragraph>
		<paragraph><![CDATA[To learn more about where the industry is heading, I ]]></paragraph>
		<paragraph><![CDATA[accepted a media invitation to attend the TECH+ Confer- ]]></paragraph>
		<paragraph><![CDATA[ence in Manhattan in May, sponsored by the The Archi- ]]></paragraph>

		<paragraph><![CDATA[Several speakers observed that the AEC industry is ]]></paragraph>
		<paragraph><![CDATA[near the bottom of the bell curve in technological adapta- ]]></paragraph>
		<paragraph><![CDATA[tion, only slightly better than architecture. ]]></paragraph>
		<paragraph><![CDATA[Perhaps the biggest “wow” moment occurred for me ]]></paragraph>
		<paragraph><![CDATA[when Chris Meyer, Boston-based general contractor and ]]></paragraph>
		<paragraph><![CDATA[Suffolk’s chief information officer, displayed a graph ]]></paragraph>
		<paragraph><![CDATA[showing the sudden and dramatic market decline for ]]></paragraph>
		<paragraph><![CDATA[newspaper advertising in the last decade. We’ve pub- ]]></paragraph>
		<paragraph><![CDATA[lished a story in our U.S. publications about Suffolk’s ]]></paragraph>
		<paragraph><![CDATA[multi-city Smart Lab concept, but I didn’t connect the ]]></paragraph>
		<paragraph><![CDATA[dots until his speech that Meyer had previously been the ]]></paragraph>
		<paragraph><![CDATA[Boston Globe’s publisher. ]]></paragraph>
		<paragraph><![CDATA[Meyer displayed a graph that showed that, while the ]]></paragraph>
		<paragraph><![CDATA[newspaper industry was well aware of the Internet’s rise ]]></paragraph>
		<paragraph><![CDATA[and developed different models to cope with the ]]></paragraph>
		<paragraph><![CDATA[change, it could not stop the steep and dramatic crash ]]></paragraph>
		<paragraph><![CDATA[that started about the turn of the millennium, as Google ]]></paragraph>

		<paragraph><![CDATA[dustry has been pushed over the cliff, and in just a few ]]></paragraph>
		<paragraph><![CDATA[years. Meyer suggested that AEC, like the newspaper busi- ]]></paragraph>
		<paragraph><![CDATA[ness, is an “intermediary” industry – that is, most practi- ]]></paragraph>
		<paragraph><![CDATA[tioners are serving others in the value chain rather than ]]></paragraph>
		<paragraph><![CDATA[end users -- and he suggested this could create a situa- ]]></paragraph>
		<paragraph><![CDATA[tion where there will be major disruptions as new tech- ]]></paragraph>
		<paragraph><![CDATA[nologies capture market presence and share. ]]></paragraph>
		<paragraph><![CDATA[Will this happen anytime soon? That is the big ques- ]]></paragraph>
		<paragraph><![CDATA[tion. And the AEC industry may be saved (or ultimately ]]></paragraph>
		<paragraph><![CDATA[destroyed) by its current structure, where various pro- ]]></paragraph>
		<paragraph><![CDATA[fessionals often work in their own silos. ]]></paragraph>
		<paragraph><![CDATA[Keynote speaker Dennis Sheldon, director of the Digi- ]]></paragraph>

		<paragraph><![CDATA[paper reported. ]]></paragraph>
		<paragraph><![CDATA[But BIM and virtual reality have been around for sev- ]]></paragraph>
		<paragraph><![CDATA[eral years now, and while they have certainly influenced ]]></paragraph>
		<paragraph><![CDATA[design and construction practices, they haven’t changed ]]></paragraph>
		<paragraph><![CDATA[the universe, it seems. Something else needs to give – ]]></paragraph>
		<paragraph><![CDATA[and the suggestion from some speakers is that it will ]]></paragraph>
		<paragraph><![CDATA[come from highly capitalized new integrated industry or- ]]></paragraph>
		<paragraph><![CDATA[ganizations, and individual owners demanding greater ]]></paragraph>
		<paragraph><![CDATA[technological adaptation and accountability. ]]></paragraph>
		<paragraph><![CDATA[The disruptors, such as Katerra, combine ]]></paragraph>
		<paragraph><![CDATA[modular/factory building with a beginning-to-end design, ]]></paragraph>
		<paragraph><![CDATA[engineering and construction collaboration process, ]]></paragraph>
		<paragraph><![CDATA[meaning that the owner places the order, architects and ]]></paragraph>
		<paragraph><![CDATA[engineers (often in remote locations), prepare the de- ]]></paragraph>
		<paragraph><![CDATA[sign, and the work is scheduled in factory settings, with ]]></paragraph>
		<paragraph><![CDATA[modular components shipped to the actual construction ]]></paragraph>
		<paragraph><![CDATA[site for rapid assembly. ]]></paragraph>
		<paragraph><![CDATA[If these services catch on – and billions of dollars in ]]></paragraph>
		<paragraph><![CDATA[investment capital have been staked on the proposition ]]></paragraph>
		<paragraph><![CDATA[– the traditional design and construction model will be ]]></paragraph>
		<paragraph><![CDATA[upended as designers, contractors and subtrades either ]]></paragraph>
		<paragraph><![CDATA[need to buy into the new competing mammoth building ]]></paragraph>
		<paragraph><![CDATA[organizations, or fight for a shrinking market share ]]></paragraph>
		<paragraph><![CDATA[where traditional practices and relationships remain in ]]></paragraph>
		<paragraph><![CDATA[place. Another drive for change is happening at the owner- ]]></paragraph>
		<paragraph><![CDATA[ship level. Jeremy Munn, a senior capital project man- ]]></paragraph>
		<paragraph><![CDATA[ager for the design and construction department within ]]></paragraph>
		<paragraph><![CDATA[the facilities division of Northeastern University in ]]></paragraph>
		<paragraph><![CDATA[Boston, for example, described how the university is fi- ]]></paragraph>
		<paragraph><![CDATA[nally getting all the pieces together in a digital procure- ]]></paragraph>
		<paragraph><![CDATA[ment/building cycle, but not by using a one-size fits all ]]></paragraph>
		<paragraph><![CDATA[system, and with plenty of training and support to en- ]]></paragraph>
		<paragraph><![CDATA[courage compliance (and this progress is coming be- ]]></paragraph>
		<paragraph><![CDATA[cause the owner is driving the agenda, not the ]]></paragraph>
		<paragraph><![CDATA[architects, engineers or contractors.) ]]></paragraph>

		<paragraph><![CDATA[software, but rather to integrate the different tools and ]]></paragraph>
		<paragraph><![CDATA[software resources appropriate to the different stages in ]]></paragraph>
		<paragraph><![CDATA[the design, construction and operation cycle. ]]></paragraph>
		<paragraph><![CDATA[He said the university had 206 active users in its e- ]]></paragraph>
		<paragraph><![CDATA[management system in 2016; by 2018, the active users ]]></paragraph>
		<paragraph><![CDATA[had increased to 660. “Most are consultants,” he said. ]]></paragraph>

		<paragraph><![CDATA[nificant prompt payment and new adjudication rules go ]]></paragraph>
		<paragraph><![CDATA[into effect. ]]></paragraph>
		<paragraph><![CDATA[The Ontario legislation is significant elsewhere in the ]]></paragraph>
		<paragraph><![CDATA[country because the federal government and several ]]></paragraph>
		<paragraph><![CDATA[other provinces are preparing new construction laws in- ]]></paragraph>
		<paragraph><![CDATA[corporating many of the provisions of the new Ontario ]]></paragraph>
		<paragraph><![CDATA[legislation. Several lawyers and consultants outlined the changes ]]></paragraph>
		<paragraph><![CDATA[– including challenging transitional provisions – at a May ]]></paragraph>
		<paragraph><![CDATA[14 seminar sponsored by the Construction and Design ]]></paragraph>
		<paragraph><![CDATA[Alliance of Ontario (CDAO). ]]></paragraph>
		<paragraph><![CDATA[Geza Banfai with McMillan LLP outlined the reasons ]]></paragraph>
		<paragraph><![CDATA[for the new rules, which trace their roots to lobbying sev- ]]></paragraph>
		<paragraph><![CDATA[eral years ago from the National Trade Contractors Coali- ]]></paragraph>
		<paragraph><![CDATA[tion of Canada (NTCCC), which led to a private member’s ]]></paragraph>
		<paragraph><![CDATA[bill that failed to move forward after government min- ]]></paragraph>
		<paragraph><![CDATA[istries and agencies, private owners, general contractors, ]]></paragraph>
		<paragraph><![CDATA[consultants and lenders raised strong objections. ]]></paragraph>
		<paragraph><![CDATA[However, the provincial government agreed to com- ]]></paragraph>
		<paragraph><![CDATA[mission lawyers Bruce Reynolds and Sharon Vogel to ]]></paragraph>
		<paragraph><![CDATA[conduct an extensive review of old Construction Lien Act, ]]></paragraph>
		<paragraph><![CDATA[dating back from the 1980s. After extensive consultation ]]></paragraph>
		<paragraph><![CDATA[12 – Spring 2018 — The Canadian Design and Construction Report ]]></paragraph>
		<paragraph><![CDATA[with stakeholders, Reynolds and Vogel submitted 101 ]]></paragraph>
		<paragraph><![CDATA[recommendations, which became the foundation for the ]]></paragraph>
		<paragraph><![CDATA[new Construction Act, which was passed and proclaimed ]]></paragraph>
		<paragraph><![CDATA[just before Christmas last year. ]]></paragraph>
		<paragraph><![CDATA[By late April, government officials had drafted the nec- ]]></paragraph>
		<paragraph><![CDATA[essary enabling regulations. ]]></paragraph>
		<paragraph><![CDATA[The changes in Bill 142 include several fundamental ]]></paragraph>
		<paragraph><![CDATA[changes in lien periods, holdbacks, trust obligations, ]]></paragraph>
		<paragraph><![CDATA[claims and procedures, said Ted Betts, the head of Gowl- ]]></paragraph>
		<paragraph><![CDATA[ings WLG’s Infrastructure and Construction Sector ]]></paragraph>
		<paragraph><![CDATA[Group. “A lot of these (legislative) changes are in the ‘modern- ]]></paragraph>
		<paragraph><![CDATA[ization’ bucket,” he said. “It’s worthwhile for everyone to ]]></paragraph>
		<paragraph><![CDATA[read through all of them.” ]]></paragraph>
		<paragraph><![CDATA[The so-called “modernization” changes include: ]]></paragraph>
		<paragraph><![CDATA[• An extension of the lien “preservation period”, from 45 ]]></paragraph>
		<paragraph><![CDATA[to 60 days and a longer lien “perfection period” from ]]></paragraph>
		<paragraph><![CDATA[45 to 90 days after the last day the lien could have ]]></paragraph>
		<paragraph><![CDATA[been preserved; both of these ensure there “is more ]]></paragraph>
		<paragraph><![CDATA[time to negotiate and work out disputes rather than ]]></paragraph>
		<paragraph><![CDATA[come to the lawyers;” and ]]></paragraph>
		<paragraph><![CDATA[• Mandatory holdback release by the end of the hold- ]]></paragraph>
		<paragraph><![CDATA[back period, unless owners publish their intentions ]]></paragraph>
		<paragraph><![CDATA[not to release the holdback in a public notice no later ]]></paragraph>
		<paragraph><![CDATA[than 40 days after the publication of the Certificate of ]]></paragraph>
		<paragraph><![CDATA[Substantial Performance. ]]></paragraph>
		<paragraph><![CDATA[“There’s a large deliberate gap,” Betts said. “An ]]></paragraph>
		<paragraph><![CDATA[owner has to put their cards on the table” so that con- ]]></paragraph>
		<paragraph><![CDATA[tractors and subtrades know where they are ahead of the ]]></paragraph>
		<paragraph><![CDATA[lien filing deadline. Effectively, the new rules give the ]]></paragraph>
		<paragraph><![CDATA[contractors and owners “an extra 20 days to settle dis- ]]></paragraph>
		<paragraph><![CDATA[putes and avoid standoffs.” ]]></paragraph>
		<paragraph><![CDATA[The new legislation also allows for owners and con- ]]></paragraph>
		<paragraph><![CDATA[tractors to release holdback on larger projects ($10 mil- ]]></paragraph>
		<paragraph><![CDATA[lion or more) before the project is completed. ]]></paragraph>
		<paragraph><![CDATA[“The theme throughout all of the changes, in these ]]></paragraph>

		<paragraph><![CDATA[There are other changes, as well: ]]></paragraph>
		<paragraph><![CDATA[• Multiple improvements can be treated as separate ]]></paragraph>
		<paragraph><![CDATA[contracts for the purposes of determining the sub- ]]></paragraph>
		<paragraph><![CDATA[stantial performance date and lien periods; so con- ]]></paragraph>
		<paragraph><![CDATA[tractors don’t have to wait for every bundled part of ]]></paragraph>
		<paragraph><![CDATA[the overall project to be completed before receiving ]]></paragraph>
		<paragraph><![CDATA[their holdbacks. However, this provision applies at the ]]></paragraph>
		<paragraph><![CDATA[owner/general contractor level, and Betts said “It’s not ]]></paragraph>
		<paragraph><![CDATA[clear how this will play out on subcontractors and sup- ]]></paragraph>
		<paragraph><![CDATA[pliers.” ]]></paragraph>

		<paragraph><![CDATA[prevent creditors from grabbing trust funds (including ]]></paragraph>
		<paragraph><![CDATA[holdbacks) when a contractor or subcontractor goes ]]></paragraph>
		<paragraph><![CDATA[bankrupt as the trustee can now (hopefully) see clearly ]]></paragraph>
		<paragraph><![CDATA[the trust account status. ]]></paragraph>
		<paragraph><![CDATA[• There are several new forms, and new tools for con- ]]></paragraph>
		<paragraph><![CDATA[tractors to request information about their projects. ]]></paragraph>
		<paragraph><![CDATA[One issue with the new legislation, said Bird Con- ]]></paragraph>
		<paragraph><![CDATA[struction board member Paul Raboud, is the “tricky tran- ]]></paragraph>
		<paragraph><![CDATA[sition periods.” ]]></paragraph>
		<paragraph><![CDATA[The regulations and legislation suggest that if any ]]></paragraph>
		<paragraph><![CDATA[contract is in force or “if there is any activity such as a ]]></paragraph>
		<paragraph><![CDATA[pre-qualification happening before July 1,” the old rules ]]></paragraph>
		<paragraph><![CDATA[apply. Someone in the audience asked what the status ]]></paragraph>
		<paragraph><![CDATA[would be if you were on a general pre-qualification list ]]></paragraph>
		<paragraph><![CDATA[rather than one for a specific project. Panelists re- ]]></paragraph>
		<paragraph><![CDATA[sponded by saying they aren’t sure – this may be one ]]></paragraph>
		<paragraph><![CDATA[issue that would need to be resolved through a judicial ]]></paragraph>
		<paragraph><![CDATA[process, but Raboud had a simple answer: “Assume (the ]]></paragraph>
		<paragraph><![CDATA[lien period) is 45 days and not 60 days” -- in other words, ]]></paragraph>
		<paragraph><![CDATA[behave as if the old law applies, unless you are certain ]]></paragraph>
		<paragraph><![CDATA[the new rules will be valid. ]]></paragraph>
		<paragraph><![CDATA[WeirFoulds LLP partner Glenn Ackerley said the “sub- ]]></paragraph>

		<paragraph><![CDATA[“Owners, staff and consultants are going to have to ]]></paragraph>
		<paragraph><![CDATA[know which contract applies to the project, with longer ]]></paragraph>

		<paragraph><![CDATA[projects greater than $500,000 must have 50 per cent ]]></paragraph>
		<paragraph><![CDATA[performance and payment bonds. “Public” includes the ]]></paragraph>
		<paragraph><![CDATA[broader public sector such as school districts. ]]></paragraph>
		<paragraph><![CDATA[Other changes are intended to bring much greater ]]></paragraph>
		<paragraph><![CDATA[clarity and responsiveness to the bond claims process, ]]></paragraph>
		<paragraph><![CDATA[with finite deadlines for responding to claims by either ]]></paragraph>
		<paragraph><![CDATA[accepting, denying or seeking more information. ]]></paragraph>
		<paragraph><![CDATA[The speakers indicated that, while the regulations ]]></paragraph>
		<paragraph><![CDATA[going into effect on July 1 will impact the industry, the ]]></paragraph>
		<paragraph><![CDATA[really big changes will occur in October 2019, when the ]]></paragraph>
		<paragraph><![CDATA[new law’s remaining provisions will be implemented. ]]></paragraph>
		<paragraph><![CDATA[These include mandatory prompt payment require- ]]></paragraph>
		<paragraph><![CDATA[ments. In about a year and a half, “owners must pay ]]></paragraph>
		<paragraph><![CDATA[within 28 days of receipt of proper invoices,” said Chris ]]></paragraph>
		<paragraph><![CDATA[Stanek, a partner at Gowling WLG. There are specific re- ]]></paragraph>
		<paragraph><![CDATA[quirements in defining a “proper invoice”. ]]></paragraph>
		<paragraph><![CDATA[Owners can dispute the invoice “but must provide ]]></paragraph>
		<paragraph><![CDATA[written notice in the prescribed form” within 14 days of ]]></paragraph>
		<paragraph><![CDATA[receiving the invoice. The notice/response system is de- ]]></paragraph>
		<paragraph><![CDATA[signed to tie in with a new adjudication system, which al- ]]></paragraph>
		<paragraph><![CDATA[lows an exceptionally rapid decision on payments by a ]]></paragraph>
		<paragraph><![CDATA[third-party expert adjudicator (agreed to by the parties or ]]></paragraph>

		<paragraph><![CDATA[“If the owner has not paid but delivered a notice of ]]></paragraph>

		<paragraph><![CDATA[within seven days after receipt of the owner’s notice of ]]></paragraph>

		<paragraph><![CDATA[visions, when they are implemented, are “collectively ]]></paragraph>

		<paragraph><![CDATA[tion soon. These changes will bring Ontario and Canada ]]></paragraph>
